Today the Committee of Representation voted on the SIHNV Composition Plan at the Creditors' Meeting. All members of the Committee of Representation voted in favor of the SIHNV Composition Plan and as a result it is adopted. The SIHNV Composition Plan will now need to be considered by the District Court of Amsterdam in a confirmation hearing that has been scheduled for 10.00 (CET) on 16 September 2021 at the District Court of Amsterdam.

SIHNV Composition Plan - Information regarding Creditors' Meeting on 3 September 2021

The administrators provide information for the meeting regarding the vote on the composition plan by the committee of representation, which meeting is scheduled for 3 September 2021, 09.30am (CET). The information also includes instructions for creditors that wish to submit any views on the composition plan. Creditors cannot vote on the composition plan, but are not prohibited from attending this meeting. As such, information is also provided on how creditors can notify the administrators of their intention to attend the meeting.

The administrators remind every creditor – with reference to their message on 16 July 2021 – that pursuant to the decision of the Amsterdam District Court of 15 February 2021, creditors were obliged to file their claim no later than 15 June 2021. Dutch law allows creditors to file claims after 15 June 2021 but these will not automatically be placed on the list of creditors. Creditors are urged to file their claims as soon as possible, and in any event before c.o.b. (CET) 19 August 2021.

Informal English Translation of Ruling Amsterdam District Court Dated 28 May 2021

On 28 May 2021, the Amsterdam District Court has rendered its decision on the application filed on 23 April 2021 by the administrators requesting (i) the appointment of a Committee of Representation and (ii) measures regarding the list of claims as referred to in Article 259 of the Dutch Bankruptcy Act (Faillissementswet). ACGs support settlement offers of Steinhoff, Deloitte and D&O Insurers

Four large active claimant groups who represent market purchase claimants based in South Africa and elsewhere, have confirmed their support for, and will recommend that their respective constituents support, the Steinhoff Global Settlement and its implementation by way of the Dutch suspension of payments commenced on 15 February 2021 and the S155 proposal under South African law. Any litigation initiated by these ACGs against Steinhoff and its former directors and officers will be suspended immediately. After the successful implementation of the Dutch SoP and the S155 Proposal, this litigation will be terminated.

Steinhoff Global Settlement –Agreement with Deloitte and Conservatorium

Steinhoff International Holdings N.V. (“SIHNV”) previously announced that a hearing, scheduled for 8 February 2021, in the Amsterdam District Court following a request by Conservatorium Holdings LLC (“Conservatorium”) to appoint a restructuring expert to SIHNV (the “Application”) had been postponed until 15 February 2021. However, following a number of constructive engagements between the parties an agreement has been reached, in principle, between, among others, SIHNV, Steinhoff International Holdings Proprietary Limited, Conservatorium and certain entities linked to Christo Wiese. This agreement is subject to a number of conditions. The result of agreement reached among the parties is that Conservatorium will withdraw the Application.
